The purpose of this document is to be on the same page about the scope, fees and timelines, and everything else is somewhat optional.

While this is a legal document, it’s very unlikely that it’ll be worth it for you as a freelancer to go after a client who breaches the agreement. Having a signed agreement will largely only help you with having a document to refer back to in case there are disagreements later. I’ve found that by creating such a written document, some of those potential disagreements about scope, payment and timelines are automatically avoided.

App Design Agreement

This Agreement, dated 5 February, 2023 for App Design Services (the “Agreement”) is between Gyan Lakhwani (“The Designer”), and Client Name (“The Client”) (together known as the “Parties”), for the performance of Design Services and the production of Deliverables (specified in section 2).

1. Fees

The Client is hiring the Designer to design the Alpha version of mobile app for iOS for the total cost of INR x. The payment will be distributed into 3 milestones as outlined in section 3, and each payment will be made after completion of the associated task by the Designer and approval by the Client. The Designer reserves the right to pause work on the next milestone if the payment for the previous milestone is not cleared in a timely manner.

2. Deliverables

The Designer will provide the following deliverables to the Client : 

  1. Style guide document with details of colors, typography & iconography to be used in the app. 

  2. Image assets for all icons used in the app (rendered in appropriate sizes for use in iOS app)

  3. Static screen designs for iOS app in .png format 

  • at iPhone 7 size (1334 x 750)

  • at iPhone 7 Plus size (1242 x 2208)

  • at retina iPad size (1536 x 2048)

  1. Clickable prototype for iOS app made using Invision. 

  2. Developer friendly handoff of iOS screens using Zeplin.

3. Payment Milestones

Payment shall be made to xx, Account No. xx at Bank of Baroda, Karol Bagh branch with IFSC code xx according to the schedule below :

4. Reviews and Revisions

  1. Reviews: The client agrees to review the work done by the Designer, and provide feedback and approval in one or more weekly review sessions.

  2. Revisions: The Designer agrees to use the feedback supplied to make appropriate changes to the designs at no extra cost, up until the point of approval and payment from the Client. Any changes requested after this point will be chargeable as per the Designer’s standard rate, or a separate project fee can be requested by the Client.

  3. Satisfaction: If at any point the Client is unhappy with the direction the project is taking, they may pay the Designer for the work done till that point and cancel this contract.

5. Copyrights

When the final payment has cleared, copyright will be automatically assigned as follows:

  1. The Client will own the visual elements that the Designer creates for this project. The Designer will hand over finished files, and will not be required to keep a copy once the deliverables have been handed over. The Client will own all elements of text, images and data provided, unless licensed from other sources. 

  2. The Designer reserves the right, to showcase the work done for the project on their portfolio, to display and link to the Client’s project as part of the portfolio, and to write about it on websites, in magazine articles and in books after completion of the project and public release of the app, or 12 months from completion of the project, whichever is earlier.

6. Limitation of Liability

  1. The services and the work product of Designer are sold “as is.” The Designer can not guarantee that all work done will be error-free and so the Designer can not be held liable to the Client or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if the Client had advised the Designer of them.

  2. In all circumstances, the maximum liability of Designer to Client for damages for any and all causes whatsoever, and Client’s maximum remedy shall be limited to the net profit of Designer.

7. Confidentiality

  1. Each party acknowledges that in connection with this Agreement it may receive certain confidential or proprietary technical and business information and materials of the other party, including without limitation Preliminary Works (“Confidential Information”). 

  2. Each party, its agents and employees shall hold and maintain in strict confidence all Confidential Information, shall not disclose Confidential Information to any third party, and shall not use any Confidential Information except as may be necessary to perform its obligations under the Proposal except as may be required by a court or governmental authority. 

  3. Confidential Information shall not include any information that is in the public domain or becomes publicly known through no fault of the receiving party, or is otherwise properly received from a third party without an obligation of confidentiality.

8. No exclusivity

The parties expressly acknowledge that this Agreement does not create an exclusive relationship between the parties. 

  1. The Client is free to engage others to perform services of the same or similar nature to those provided by Designer.

  2. The Designer shall be entitled to offer and provide design services to others, solicit other clients and otherwise advertise the services offered by Designer.
